These Terms and Conditions (“Terms”) outline the agreement between you, the business owner (“You” or “Your”), and NEPA Marketplace (“We” or “Us”) regarding the submission of your story through the “Share Your NEPA Small Business Story” form (the “Form”). By submitting your story through the Form, you agree to these Terms.
1. Content Ownership and License:
- You retain all ownership rights to the content you submit, including text, photos, and videos (collectively, “Content”).
- By submitting Content, you grant NEPA Marketplace a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, modify, publish, translate, distribute, and display the Content in connection with promoting NEPA Marketplace and its services. This includes, but is not limited to, use on our website, social media platforms, marketing materials, and promotional content.
2. User Representations and Warranties:
- You represent and warrant that you:
- Own or have all necessary rights and permissions to submit the Content.
- The Content does not infringe on any intellectual property rights of any third party.
- The Content is truthful and accurate.
- You have the full legal capacity to enter into this agreement.
3. Indemnification:
- You agree to indemnify, defend, and hold harmless NEPA Marketplace, its officers, directors, employees, agents, and licensors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your violation of these Terms.
- Your submission of Content that infringes on any third-party rights.
- Your use of NEPA Marketplace or the Form.
4. Limitation of Liability:
- NEPA Marketplace will not be liable for any damages arising out of or relating to your use of the Form or the submission of your Content. This includes, but is not limited to, indirect, incidental, consequential, punitive, or special damages.
5. Term and Termination:
- These Terms will remain in effect for as long as your Content is displayed on NEPA Marketplace websites or platforms.
- We may terminate these Terms at any time for any reason, with or without notice.
6. Modifications:
- We may modify these Terms at any time by posting the revised Terms on the NEPA Marketplace website. Your continued use of the Form after the posting of the revised Terms constitutes your acceptance of the revised Terms.
7. Governing Law:
- These Terms will be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of laws provisions.
8. Entire Agreement:
- These Terms constitute the entire agreement between you and NEPA Marketplace with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
9. Severability:
- If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
10. Waiver:
- No waiver of any provision of these Terms will be deemed a further or continuing waiver of such provision or any other provision.

By submitting your Content through the Form, you acknowledge that you have read, understood, and agree to these Terms.
